Catalog Content Agreement — MVP Draft

1. Scope

An authorization covers one brand, one approved catalog source, the agreed content categories, and the sales territories named in that authorization. A new domain, feed, platform account, source type, or territory needs its own review and authorization.

2. What KIIP would need permission to do

The proposed agreement gives KIIP a limited, non-exclusive, royalty-free right to retrieve, store, format, reproduce, display, distribute, and promote the approved product data, imagery, video, product identifiers, and brand marks through the KIIP service. It also permits technical derivatives such as responsive images, thumbnails, search indexes, translations for supported locales, and backups. It does not authorize unrelated use or general-purpose AI model training without a separate written agreement.

3. What the brand would confirm

  • It controls the approved source or has authority to authorize KIIP's access.
  • It holds the rights, permissions, licences, and releases needed for KIIP's permitted use of the supplied material, including any image, video, model, or third-party material.
  • It keeps product, price, stock, safety, and territory information accurate, current, complete, and lawful.
  • It promptly reports a rights dispute, recall, safety concern, regulatory notice, takedown request, source-data error, or loss of source authority.

4. Available source paths

An application may identify a brand-entered catalog, authenticated spreadsheet upload, or feed from a verified brand domain. Each path must still be reviewed, authorized for its exact source, and kept within its approved territory.

5. Review and withdrawal

The proposed agreement allows KIIP to validate a source, hold or pause a listing, roll back an import, or remove content when a rights, accuracy, safety, security, or legal concern arises. Where practical, KIIP will identify the issue and the information needed for reconsideration. A brand may ask to withdraw an approved source in writing; KIIP can then stop synchronization and new publication while it handles the affected content.

6. What this agreement does not settle

The final catalog-content agreement will sit alongside the Brand Partner Terms and does not by itself create a customer sale, payment, fulfilment, or data-processing authorization. The Brand Partner Terms state the current MVP baseline: the Brand is seller and fulfiller, while KIIP provides marketplace, checkout, payment collection, and central support.
